1) Introduction & acceptance
These Terms & Conditions (“Terms”) govern your use of the JTP Tours & Safaris (“JTP”, “we”, “us”) website and our related services for investors/vehicle owners, drivers, and prospective customers in Namibia. By accessing our site, submitting a form, or partnering with us, you agree to these Terms.
“Yango” is a trademark of its owner. JTP is an independent partner; Yango has separate terms and policies applying to the Yango app and platform.
2) Definitions
- Investor / Owner: A person or entity that engages JTP to manage a vehicle for ride-hailing operations.
- Driver: A person operating a vehicle under JTP management in connection with Yango.
- Monthly Net Profit: Gross trip revenues actually received (after platform deductions/chargebacks) minus fuel, data top-ups, cash-in deficits, maintenance/repairs, insurance, tracker, and agreed operational costs.
- Packages: Bronze (10%), Silver (15%), Gold (18%) — management commission percentages applied to Monthly Net Profit.
3) Services & relationship
- JTP provides fleet management, driver onboarding, GPS tracking facilitation, operations monitoring, incident support, maintenance coordination, and investor settlements.
- The relationship between JTP and Investors/Drivers is that of independent contractors. Nothing creates employment, partnership, or agency beyond what is necessary to operate the fleet.
- JTP may update processes, SLAs, incentives, and documentation standards with notice to ensure safety, compliance, and performance.
4) Investor / owner terms
- Onboarding: Provide registration papers, licence disc, insurance, roadworthy certificate, and tracker status. Vehicles must meet platform and regulatory standards.
- Use & compliance: Vehicles are used for lawful ride-hailing only. Any liens or finance obligations must be disclosed.
- Settlements: Statements reflect revenue, costs, and commission. Payouts are made on the agreed cycle following reconciliation and “four-eyes” review.
- Access: Investors may receive read-only tracking or performance summaries where available.
5) Driver terms
- Eligibility: Valid Namibian driver’s licence (PDP preferred), ID/passport, police clearance, and smartphone compatible with Yango.
- Conduct: Professionalism, safety, and adherence to JTP Code of Conduct and platform rules. Misconduct may result in suspension or removal.
- Cash-ins & balances: Drivers must maintain balances/top-ups and comply with cash-in obligations to remain active.
- Payouts & bonuses: Subject to operational performance and platform adjustments. Incentives may change with notice.
6) Fees, packages & payouts
- Commission: Bronze 10%, Silver 15%, Gold 18% of Monthly Net Profit.
- Typical pass-through costs: Insurance (~N$500/mo), GPS tracking (~N$200/mo), maintenance/repairs, mobile data, compliance fees.
- Statements & timing: Weekly or monthly settlements as agreed; timing may vary where platform remittances or disputes are delayed.
- Adjustments: Chargebacks, fraud, penalties, or platform corrections may be reflected in subsequent cycles.
7) Tracking, safety & maintenance
- GPS & safety: Where enabled, geofences and alerts are used for asset protection and performance; tampering is prohibited.
- Maintenance: Preventive servicing and approved garages are used where practical. Emergency repairs may be actioned for safety and uptime.
- Incidents: Drivers must report incidents immediately. JTP conducts root-cause analysis (RCA) and follows a corrective action plan.
8) Data protection
We handle personal data according to our Privacy Policy, including onboarding documentation, operational records, and tracking data where applicable.
9) Third-party platforms
- Yango’s app, rules, incentives, and payouts are governed by Yango’s own terms and policies. JTP does not control those systems.
- External services you choose (WhatsApp, Google Maps, email providers) are subject to their respective terms and privacy policies.
10) Disclaimers & liability
- No warranty: Services are provided using reasonable skill and care, but without guarantees of uninterrupted availability or specific earnings.
- Limitation: To the maximum extent permitted by Namibian law, JTP’s aggregate liability arising out of or relating to the services is limited to the management commission paid to JTP in the three (3) months preceding the event giving rise to the claim.
- Exclusions: JTP is not liable for indirect, incidental, special, or consequential damages; platform outages or policy changes; or losses arising from inaccurate information provided by Investors/Drivers.
- Indemnity: You agree to indemnify JTP against claims arising from your breach of these Terms, unlawful use of vehicles, or violation of platform or traffic laws.
11) Suspension & termination
- Either party may terminate with reasonable written notice, subject to settlement of outstanding balances and return of property.
- JTP may suspend or terminate immediately for safety risks, fraud, non-payment, repeated cash-in defaults, tampering with tracking, or serious policy breaches.
- On termination, final accounts will reflect outstanding adjustments, penalties, and verified expenses.
12) Governing law & disputes
These Terms are governed by the laws of the Republic of Namibia. The parties submit to the exclusive jurisdiction of the courts of Windhoek. Before litigation, the parties will attempt to resolve disputes in good faith and may consider mediation.
13) Miscellaneous
- Updates: We may update these Terms; continued use after posting constitutes acceptance. Material changes may be highlighted on this page.
- Notices: We may contact you via email, WhatsApp, phone, or postal address you provide.
- Severability: If any provision is unenforceable, the remainder remains in effect.
- Assignment: You may not assign rights/obligations without our consent. We may assign in connection with a reorganisation or transfer of business.
- Entire agreement: These Terms (with any signed management agreement and the Privacy Policy) form the entire agreement regarding our services.
